This is a tentative draft based on document-management SaaS standards and applicable Colombian law. These Terms of Service (the "Terms") govern the use of the SAIA CORE platform (the "Service" or "SAIA") and constitute a legally binding agreement between you —the user, whether an individual or a legal entity— and SAIA CORE, with registered office in Colombia and email info@saiacore.com.

1. Acceptance of Terms

By creating an account, registering, or using the Service you expressly accept these Terms. If you are acting on behalf of a company or organization, you represent that you have sufficient authority to bind it. If you do not agree with any of these provisions, please do not use the Service.

2. Description of the Service

SAIA CORE is a multitenant SaaS platform offering document management, workflow automation, online procedures, version control, task assignment, hierarchical approvals, and electronic signatures. The Service optionally integrates with Google Drive and OneDrive so you can keep your files where they already live. SAIA is provided under a subscription model and is continuously updated with no client-side installations required.

3. Account and Registration

To use the Service you must create an account providing accurate, complete, and up-to-date information. You are responsible for the confidentiality of your credentials and for all activity carried out through your account. Notify info@saiacore.com immediately of any unauthorized use or suspected security compromise. SAIA may request identity verification to activate sensitive functionality.

4. Trial Period and Plans

Paid plans include a free trial of seven (7) calendar days with no credit card required. At the end of the trial you may continue with a paid plan or keep the Free plan where applicable; if you do not activate a paid plan, restricted functionality will be disabled until activation. Plan pricing and features are published on the website. SAIA may modify plans or pricing for active subscriptions with reasonable prior notice of no less than thirty (30) days.

5. Payments and Billing

Payments are processed through Wompi, a payment platform certified under the PCI DSS standard. SAIA does not store credit card numbers. Subscriptions automatically renew at the end of each billed period (monthly or annual) unless previously cancelled from the user panel. Cancellations take effect at the end of the current billed period; no partial refunds are issued for periods already billed, except where required by law.

6. Acceptable Use

You agree not to use the Service for illegal activities or activities contrary to public morals, public order, or third-party rights. In particular you may not: (a) upload content that infringes intellectual property rights or applicable regulations; (b) attempt to access without authorization other accounts or SAIA's infrastructure; (c) impair the availability of the Service through attacks, abusive scraping, reverse engineering, or unauthorized automated use; (d) resell, sublicense, or redistribute the Service without SAIA's written authorization. Breach may result in suspension or termination of the account.

7. Customer Data and Documents

Documents, data, templates, and configurations uploaded to the Service (the "Customer Data") remain your property. SAIA acts as a Data Processor of such data under Colombian Law 1581 of 2012, exclusively to deliver the contracted Service. You may export your documents at any time from the panel. Following subscription termination, Customer Data is retained for thirty (30) days to allow export and is then permanently deleted, except where SAIA is subject to a legal obligation to retain it.

8. Electronic Signatures

Electronic signatures generated within SAIA meet the requirements of Colombian Law 527 of 1999 and Decree 2364 of 2012. Each signature includes a traceability record with the signer's identity, signed-document hash, signature timestamp, and originating IP address. By using the Service you acknowledge that electronic signatures have full legal validity between the parties under applicable law.

9. Intellectual Property

The Service, its software, source code, trademarks, logos, documentation, designs, and related materials are the exclusive property of SAIA CORE or its licensors and are protected by Colombian and international copyright and industrial property law. SAIA grants you a non-exclusive, non-transferable, revocable, and limited license to use the Service during the term of your subscription. You may not copy, decompile, reverse-engineer, or create derivative works of the Service.

10. Availability and Support

SAIA uses commercially reasonable efforts to keep the Service available 24 hours a day, 7 days a week. Uninterrupted availability is not guaranteed; interruptions may occur due to scheduled maintenance, technical incidents, or force majeure. SAIA will notify scheduled maintenance with reasonable prior notice. Technical support is provided during Colombian business hours via info@saiacore.com; Enterprise plans may include specific SLAs agreed in writing.

11. Limitation of Liability

To the maximum extent permitted by applicable law, SAIA shall not be liable for indirect damages, lost profits, loss of business opportunity, data loss arising from the Customer's negligent conduct, or business interruptions caused by third parties. SAIA's total aggregate liability to the Customer, on any cause and under any legal theory, is limited to the amount actually paid by the Customer to SAIA in the twelve (12) months preceding the event giving rise to the claim.

12. Suspension and Termination

You may cancel your subscription at any time from the panel; cancellation takes effect at the end of the current billed period. SAIA may suspend or terminate the Service if: (a) you materially breach these Terms; (b) there is reasonable suspicion of fraud or misuse; (c) required by a competent authority; (d) the subscription is past due following a delinquency notice. Following termination you have thirty (30) days to export your data.

13. Changes to the Terms

SAIA may update these Terms to reflect changes to the Service, applicable regulation, or operational practices. Material changes will be notified with at least thirty (30) days prior notice via email to the registered address, and the then-current version will be published on the website with the update date. Continued use of the Service after the effective date constitutes acceptance of the new version.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Colombia. Any dispute arising out of or in connection with these Terms or the use of the Service shall be submitted to the competent courts of SAIA CORE's domicile in Colombia, except as otherwise agreed in writing for corporate customers.
